Selected Transaction: M&A Seller Representation
The Client
Thunderline Corp. is located in Livonia, Michigan. The Automotive Molded Products Division, located in Belleville, Michigan is a leading regional manufacturer of molded rubber products for the OEM and aftermarket segments of the automotive industry.
The Assignment
Context Capital Group ("Context Capital") was retained by Thunderline Corporation at a time when the Molded Products Division was experiencing extreme operational difficulties. Lenders
and trade creditors ("Creditors") were very concerned about the survival of their collateral and were restricting credit. Creditors encouraged Context Capital's effort to find a buyer instead of
closing and liquidating the division. Limited to a short timetable, Context Capital needed to quickly gain the confidence of both lenders and creditors without compromising the interest of Thunderline’s shareholders.
Context Capital identified and contacted numerous domestic and international buyers and reviewed all reasonable proposals. Special attention was paid to Carlisle's ability to close and fund this transaction successfully. Context Capital led negotiations through to closing with Carlisle.
