The Client

Patrick Plastics, Inc. is located in Ottawa, Ohio. Patrick is a leading regional manufacturer of blow molded plastic containers and primarily serves customers that manufacture and market household and automotive chemicals.

The Assignment

Several industry acquirers had recently approached the shareholders of Patrick Plastics. Context Capital Group ("Context Capital ") was retained to lead discussions, as well as to maximize the sale price and determine the interest of other acquirers. Context Capital prepared a confidential offering memorandum, a list of potential well-capitalized acquirers, and with the approval of the shareholders, began discussions with several acquirers. During these early discussions, RXI, having recently entered the industry through the successful acquisition of Texburry Plastics located in Texas, contacted Patrick Plastics. Understanding that other potential acquirers were also very interested, RXI became particularly aggressive and was encouraged to make a pre-emptive bid. Context Capital led all negotiations with RXI through to closing.
