The ClientMRI-CT, Inc.

MRI-CT, Inc. is based in New York City, New York. MRI-CT is one of the largest privately held providers of multi-modality diagnostic imaging facilities in New York City. MRI-CT operates four (4) fully equipped diagnostic imaging offices and provides managerial and administrative services to radiologists in private practice. The company equips these offices with state-of-the-art diagnostic imaging equipment for use in magnetic resonance imaging, CT scanning, general radiology, and other imaging modalities.

The Assignment

The estate of the founder and sole shareholder of MRI-CT, Inc. hired Context Capital Group ("Context Capital") to sell the Company. Importance was placed on value at a time when the
MRI/diagnostic imaging industry was suffering from over-capacity and many of the industry leaders were losing money and/or were suffering from the limitations of extremely high debt. Context Capital advised management and the estate to be prepared for a longer than normal sale process as well as the necessity to consider all forms of consideration. During this assignment, Context Capital had to be sensitive to the diverse positions of all the beneficiaries of the estate, while creating a dialog with all industry leaders in an effort to identify the strongest acquirer. Effective communication with all parties was critical. Medical Resources' offer was not only the highest in value, but was considered to be the safest for the estate. Context Capital led all negotiations with Medical Resources through to closing.
